Registering a Private Limited Company in India

In order to register a company with the Registrar of Companies, the following documents are required: -

  1. Applying for the Digital Signature Certificate (DSC) – as per the IT Act 2000, all documents that are submitted electronically need to be accompanied by the DSC of the authorized signatory or the proposed directors. The DSC is to be obtained from government-appointed Controller of Certification Agencies (CCA).  The DSC is a mandatory document required not only for company registration, it is required for compliance forms of the Registrar of Companies and filing Income Tax returns. A DSC is valid for a period of one to two years.
  2. The next step involves registering on the MCA portal – this is required for filing eForm and online fees.
  3. With the above steps done, the next important step in getting the company incorporated is to get the approval of the company name from the Ministry of Corporate Affairs. This is to ensure that there is no duplication with any other existing company names or no trademark of the same name. Application for a new company name is done through RUN service where the applicant can provide 2 alternate names of the proposed company. The form also requires the applicant to mention the name and complete postal address of the directors as well as the main objects of the company and authorized capital. It takes about 2 weeks for the ROC to approve or reject the proposed names.
  4. The next step involves submitting the e-from (SPICe-32 form) for final incorporation of the company along with supporting documents. The documents required for registering a private limited company in India are: -
  • Memorandum of Association and Articles of Association
  • Affidavit and declaration by the directors
  • Office address proof, utility bill copies
  • Identity proof and address proof of the directors.

The ROC generally takes about 3 working days to approve the form and send an email confirmation regarding the approval. Thereafter, the status of the application form is changed to ‘Approved’ and the certificate of Incorporation issued shortly.
