Incorporating a private limited company requires the following steps to be fulfilled:

  1. The first step in the process is to use the website of the Ministry of Corporate Affairs, India for reserving a company name for the proposed company using the Reserve Unique Name (RUN) service. The applicant first needs to create a login and password on the MCA website and then click on the RUN icon on the site. The applicant can enter the names in the ‘Proposed name’ section. Care needs to be taken to ensure that name is chosen as per Section 4(2) & (3) of the Companies Act, 2013 and Rule 8 of the Companies (Incorporation) Rules 2014. Also the applicant needs to enter the objects of the proposed company and other suitable remarks supporting the proposed names in the ‘Comments’ section.
  2. The applied for name will be processed and checked by the Central Registration Center (CRC) following which it will be either approved or rejected and the same will be informed to the applicant by email.

  1. Once the name approval has been received from the MCA, the applicant needs to proceed to the next step for incorporation the SPICe form needs to be filled in and submitted to the ROC. The documents required as supporting are:
  • Digital Signature Certificate of the proposed directors.
  • Director Identification Number of all the proposed directors.
  • Detailed description of the capital structure of the company.
  • Details of directors – name, address proof, Identity proof, PAN card and interest in other entities and amount of shareholding via DIR-2.
  • Subscriber details – in case of individuals, the required documents are - Name, address proof, Identity proof, PAN card and number of shares prescribed. In case of a company, the documents required are – Corporate Identification Number of the company, PAN, number of shares subscribed, official email id, and phone number of the company, registered office address and details of interest in other entities.
  • Proof of the registered office address – ownership proof in case of owned office; rental agreement in case of rent; if office is owned by a director than NOC from the director; and registered company address proof like utility bills etc.
  • Affidavit by subscribers via form INC-9
  • Declaration by professional via form INC-10

The ROC issues the Certificate of Incorporation after verifying the application form and supporting documents provided.
